This is the complete legal agreement. A plain-language summary lives at /terms. If anything here conflicts with the summary, this document controls.
Please read Section 17 carefully. It requires you to resolve disputes with us through binding individual arbitration and waives your right to participate in class actions, unless you opt out within thirty (30) days of accepting these Terms.
1. Introduction and Acceptance
These Terms of Service (“Terms”) form a binding agreement between you and Motive LLC, a Utah limited liability company (“Motive,” “we,” “us,” or “our”), governing your access to and use of the mōtive mobile application, the joinmotive.app website, and any related services (collectively, the “Service”).
By creating an account, signing in, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, our Community Guidelines, and any other supplemental terms referenced herein or presented in the Service. If you do not agree, you may not use the Service.
2. Definitions
- Account — the account you create to access the Service.
- Content — any text, photograph, image, video, message, comment, event description, profile information, or other material submitted to, through, or in connection with the Service.
- Event — an in-person meetup, gathering, activity, or hangout organized through the Service.
- Host — a User who creates an Event.
- Attendee — a User who RSVPs to, joins, or attends an Event.
- Direct Message (DM) — a private one-to-one message between two Users who are accepted friends.
- User or you — any individual who accesses or uses the Service.
- Verification Selfie — the short selfie image submitted at signup for identity verification.
3. Eligibility
To use the Service, you represent and warrant that:
- You are at least eighteen (18) years of age;
- You have the legal capacity to enter into a binding contract;
- You have not previously been suspended, terminated, or banned from the Service;
- You are not identified on any U.S. government list of sanctioned or prohibited parties, nor a resident of any jurisdiction subject to comprehensive U.S. sanctions;
- Your use of the Service does not violate any law, regulation, or contractual obligation to which you are subject.
4. Your Account
Plain-English summary: One account per real person, using accurate information. You're responsible for what happens on your account.
You must provide accurate, current, and complete information when registering and keep it up to date. You may maintain only one Account. You must not create Accounts by automated means, share your Account with anyone else, impersonate any person or entity, or misrepresent your identity, age, or affiliation.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Notify us immediately at info@joinmotive.app of any unauthorized use of your Account or any other suspected breach of security.
5. The Service
Plain-English summary: mōtive helps you coordinate small in-person hangouts with other adults. It's not a dating app, not a professional matchmaking service, and not a safety supervisor.
The Service is a platform that facilitates coordination of in-person activities among Users who are eighteen (18) years of age or older. The Service is expressly not intended for use as a dating service, romantic matching service, escort or hookup service, professional matchmaking service, or professional event management service.
Motive does not act as an employer, agent, or fiduciary of any User. Motive does not organize, supervise, or attend Events. Motive does not guarantee the quality, safety, or character of any Event, any Host, or any Attendee. All Events are organized between Users directly; Motive's role is limited to providing the technology that enables coordination.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.
6. Content and License
Plain-English summary: You own what you post. To operate motive we need permission to display and moderate it. You represent that what you post is yours to share and doesn't break the law.
Your ownership. As between you and Motive, you retain all ownership rights in the Content you submit to the Service.
License to Motive. By submitting Content, you grant Motive a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, display, reproduce, modify, adapt, publish, translate, and distribute your Content solely for the purposes of operating, providing, improving, promoting, and moderating the Service, and for the security and integrity of the Service. This license terminates when you delete your Content or Account, except to the extent your Content has already been shared with, viewed by, or interacted with by other Users (in which case the license persists as reasonably necessary), and except to the extent retention is required by law.
Your representations. You represent and warrant that: (a) you own or have all necessary rights to submit your Content; (b) your Content and its use by Motive under this license do not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or contractual rights, nor any law; and (c) your Content is accurate and not misleading.
Feedback. If you submit ideas, suggestions, or feedback about the Service (“Feedback”), you grant Motive a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without obligation or compensation to you.
7. Acceptable Use — Prohibited Conduct
Plain-English summary: Don't use motive to harm people, break laws, spam, scrape, cheat, sell things, hit on people, or work around our safety features.
You agree that you will not, and will not attempt to:
- Violate any applicable law, regulation, or third-party right;
- Harass, threaten, intimidate, stalk, dox, defame, or otherwise harm any person;
- Post or transmit content that is unlawful, hateful, discriminatory, harassing, threatening, defamatory, obscene, pornographic, or sexually explicit;
- Use the Service as a dating service, romantic matching service, hookup service, or to solicit or pursue romantic or sexual relationships;
- Impersonate any person or entity, misrepresent your affiliation, or falsely state or otherwise misrepresent yourself, your age, or your identity;
- Solicit personal information from any User under eighteen (18) years of age;
- Post, transmit, or link to spam, chain letters, unsolicited advertising, or bulk unsolicited communications;
- Use the Service for commercial purposes without our express written consent, including without limitation for advertising, marketing, recruiting, lead generation, or fundraising;
- Upload, transmit, or introduce any malware, virus, worm, trojan horse, or other harmful code;
- Scrape, crawl, spider, index, or otherwise use any automated means to access, collect, or extract data from the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure, ideas, or algorithms of the Service;
- Interfere with, disrupt, or place unreasonable load on the Service or the networks or servers connected to the Service;
- Circumvent, disable, or otherwise interfere with any security, rate-limiting, access-control, verification, or other feature of the Service;
- Evade any suspension, ban, block, or other action taken against your Account, including by creating a new Account under a different name or identifier;
- Frame, mirror, or otherwise incorporate the Service or its content into any other website, application, or service without our written consent;
- Encourage, enable, or assist any other person in doing any of the foregoing.
8. Events, Hosts, and Attendees
Plain-English summary: Events happen between Users directly. Attendance is voluntary. You assume the ordinary risks of meeting strangers in person and you agree not to sue the Host, other Attendees, or motive for what happens at Events, except where someone acted with willful misconduct or gross negligence.
8.1 Host responsibilities. If you create an Event, you represent and warrant that the Event is real, that it will take place at a public or semi-public location, that it is legal in the applicable jurisdiction, and that you have obtained any necessary permissions or permits. You must accurately describe the Event and promptly cancel or update the Event if it changes materially. You are a Host acting in an individual, non-professional capacity: you are not a professional event organizer, tour guide, safety supervisor, licensed instructor, or fiduciary, and you do not owe Attendees any duty beyond ordinary care and honest dealing.
8.2 Voluntary attendance and assumption of risk. When you RSVP to or attend an Event, you do so voluntarily. You acknowledge and accept that in-person activities with people you do not know involve inherent risks, which may include, without limitation, physical injury, illness, transmission of communicable disease, property loss or damage, emotional distress, incompatibility with other Attendees, and risks arising from the location, activity, weather, transportation, food, drink, or any third-party service used in connection with the Event. You assume all such risks. You are solely responsible for evaluating whether an Event is appropriate for you and for taking any precautions you consider necessary.
8.3 Release and waiver. To the fullest extent permitted by applicable law, you release, waive, and forever discharge the Host, other Attendees, and Motive (together with each of their officers, members, employees, agents, and successors) from any and all claims, demands, damages, actions, causes of action, losses, and liabilities of any kind, whether in contract, tort, equity, or otherwise, arising out of or in any way connected to your attendance at or participation in any Event. This release does not apply to claims arising from willful misconduct, gross negligence, fraud, or any other liability that may not be released or waived under applicable law.
8.4 No screening or supervision by Motive. Motive does not conduct criminal background checks on Users, does not verify professional qualifications or credentials, and does not supervise Events. Verification selfies confirm only that the registrant appears to be a real person consistent with their profile photo; they do not confirm identity beyond that, and they do not indicate that a User is trustworthy or safe. Blocking and reporting are provided so Users can protect themselves, but they are not a substitute for your own judgment.
9. Safety, Reporting, and Moderation
9.1 Reporting. You may report content or conduct that violates these Terms using the in-app report option on any Event or attendee, by blocking a User, or by emailing safety@joinmotive.app. For child-safety concerns, see our Child Safety Standards.
9.2 Our review. We aim to review reports within twenty-four (24) hours. We may, but are not obligated to, remove Content, restrict User activity, suspend or terminate Accounts, or take other action we deem appropriate. We may investigate suspected violations and cooperate with law enforcement as we deem appropriate.
9.3 No obligation to monitor. We have no general obligation to monitor Content or User activity, and any decision to review, remove, or leave Content is made in our sole discretion. Nothing in these Terms creates an obligation to prevent misconduct.
10. Intellectual Property
10.1 Motive's rights. The Service, including the mōtive name, wordmark, logo, artwork (including the Mo character), user interface, software, and all associated intellectual property, is owned by Motive LLC or its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted to you in these Terms, we and our licensors reserve all rights.
10.2 Copyright complaints (DMCA). If you believe that Content on the Service infringes your copyright, send a written notice to info@joinmotive.app that includes (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing, including its location; (d) your contact information; (e) a statement, under penalty of perjury, that your use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notice is accurate. We may terminate the Accounts of repeat infringers in appropriate circumstances.
11. Third-Party Services
The Service integrates with or relies on services provided by third parties, including Apple, Google, Supabase, Vercel, PostHog, Sentry, Resend, and mobile push notification services. Your use of those services is governed by the applicable third-party terms. We are not responsible for the acts, omissions, availability, security, content, or practices of any third-party service.
12. Notifications and Communications
You consent to receive electronic communications from us relating to your Account and use of the Service, including push notifications, transactional emails, and in-app messages. You may control push notifications through your device settings and may opt out of marketing communications through the unsubscribe mechanism provided in those communications. Certain transactional, safety, and account communications are necessary for the operation of the Service and cannot be disabled without ceasing use of the Service.
13. Fees
The Service is currently provided free of charge. We reserve the right to introduce fees for any part of the Service upon at least thirty (30) days' prior notice. Any fees, refund terms, and billing arrangements will be disclosed at the time of introduction.
14. Suspension and Termination
14.1 By us. We may suspend or terminate your Account or your access to any part of the Service at any time, with or without notice and with or without cause, including if we believe you have violated these Terms, our Community Guidelines, or applicable law, or if we believe suspension or termination is necessary to protect the Service, our Users, or third parties.
14.2 By you. You may terminate your Account at any time by using the in-app deletion tool at /delete-account.
14.3 Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections 6 (license to Motive, to the extent Content has already been shared), 8.3 (release and waiver), 10, 15, 16, 17, 18, 19, and 20, and any obligation that by its nature should survive, will survive termination. Data-retention practices are described in our Privacy Policy.
15. Disclaimer of Warranties
Plain-English summary: The Service is provided as-is. We do not guarantee it will meet your needs, be error-free, be available all the time, or be safe.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT AND MATERIALS AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WITHOUT LIMITING THE FOREGOING, MOTIVE DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
MOTIVE MAKES NO WARRANTY OR REPRESENTATION REGARDING THE CONDUCT, CHARACTER, TRUTHFULNESS, IDENTITY, OR SAFETY OF ANY USER, HOST, ATTENDEE, OR EVENT. YOUR USE OF THE SERVICE AND YOUR ATTENDANCE AT ANY EVENT IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION OBTAINED FROM MOTIVE OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of certain warranties. The above disclaimers apply to the fullest extent permitted by law.
16. Limitation of Liability
Plain-English summary: If motive is somehow legally on the hook to you, our total liability is capped at $100 or the fees you've paid us in the last twelve months, whichever is greater. We are never liable for indirect or consequential damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MOTIVE OR ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, OR SUCCESSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR ANY DAMAGES RESULTING FROM ACTS OR OMISSIONS OF OTHER USERS OR THIRD PARTIES OR FROM YOUR ATTENDANCE AT ANY EVENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT MOTIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MOTIVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, FROM ALL CAUSES AND UNDER ALL THEORIES, WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS PAID BY YOU TO MOTIVE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such limitation is not enforceable in a jurisdiction, our liability in that jurisdiction is limited to the fullest extent permitted by law.
17. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully. It requires you to arbitrate disputes with Motive on an individual basis and limits the manner in which you can seek relief from us. You have the right to opt out of arbitration as described in Section 17.6 below.
17.1 Informal resolution. Before initiating any arbitration or lawsuit, you and Motive agree to attempt to resolve the dispute informally for at least sixty (60) days after written notice describing the dispute is delivered to the other party. Notices to Motive must be sent to info@joinmotive.app.
17.2 Binding arbitration. If informal resolution does not resolve the dispute, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be held in Utah County, Utah, or, at your election, by videoconference or telephone. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17.3 Federal Arbitration Act. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this Section 17.
17.4 Class action waiver. YOU AND MOTIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one person or preside over any form of representative proceeding.
17.5 Small-claims court. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within the court's jurisdiction, so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction.
17.6 Opt-out. You may opt out of the arbitration agreement in Section 17.2 and the class-action waiver in Section 17.4 by sending written notice of your decision to opt out to info@joinmotive.app within thirty (30) days of the date you first accept these Terms. Your notice must include your full name, the email address associated with your Account, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.
17.7 Severability of this section. If any part of this Section 17 is found unenforceable, that part will be severed and the remainder will remain in effect, except that if the class-action waiver in Section 17.4 is found unenforceable, then this entire Section 17 will be null and void.
17.8 Survival. This Section 17 survives the termination of these Terms or your Account.
18. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in Utah County or Salt Lake County, Utah, and waive any objection to venue in those courts.
19. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your Account.
20. Indemnification
You will indemnify, defend, and hold harmless Motive and its officers, members, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected to (a) your Content; (b) your use or misuse of the Service; (c) your violation of these Terms, the Community Guidelines, or applicable law; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) your acts or omissions at or related to any Event.
21. General Provisions
21.1 Entire agreement. These Terms, together with the Privacy Policy, Community Guidelines, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Motive concerning the Service and supersede all prior agreements.
21.2 Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
21.3 No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
21.4 Assignment. You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. We may assign these Terms without restriction. Any prohibited assignment is void.
21.5 Force majeure. Motive is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
21.6 Notices. We may provide notices to you by email to the address associated with your Account, by in-app notification, or by posting on the Service. You must provide notices to us at info@joinmotive.app, with a copy to Motive LLC c/o its registered agent at the address maintained with the Utah Division of Corporations.
21.7 Headings. Headings are for convenience only and do not affect interpretation.
21.8 No third-party beneficiaries. These Terms are for the sole benefit of you and Motive and do not create any third-party-beneficiary rights.
